These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Baliaga Studio ("we," "us," or "our"), concerning your access to and use of the Modalys website and application (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are prohibited from using the Service and must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will notify you of any changes by updating the "Last updated" date. It is your responsibility to review these Terms periodically.

1. THE SERVICE
Modalys is an AI-powered music theory analysis tool that allows users to search for songs and receive structured educational analysis covering key and scale, chord progressions, tempo and rhythm, song structure, and theory highlights. The Service is intended for personal, educational, and creative use by musicians, students, and music enthusiasts.
To generate analyses, the Service sends song information to the Anthropic API, a third-party artificial intelligence provider. By using the Service, you acknowledge and accept that your queries are processed by this third-party system as described in our Privacy Policy.
2. ELIGIBILITY
The Service is intended for users who are at least 13 years of age. By using the Service, you represent and warrant that:
- You are at least 13 years old;
- You have the legal capacity to agree to these Terms;
- You are not located in a country subject to a government embargo or designated as a "terrorist supporting" country;
- You are not listed on any government list of prohibited or restricted parties.
3. USER ACCOUNTS
Certain features of the Service, including sharing analyses, require you to register for an account. When you create an account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your password confidential and not share it with any third party;
- Notify us immediately at contact@baliagastudio.com of any unauthorized access to your account;
- Accept responsibility for all activity that occurs under your account.
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
4. ACCEPTABLE USE
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable local, national, or international law or regulation;
- Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems;
- Submit automated, scripted, or bulk requests to the Service in a manner that places excessive load on the infrastructure or circumvents intended usage limits;
- Use the Service to reproduce, redistribute, or commercially exploit music analysis results at scale without our prior written consent;
- Attempt to reverse engineer, decompile, or extract the underlying prompts, models, or logic of the Service;
- Use the Service to transmit any unsolicited or unauthorized advertising or promotional material;
- Impersonate or attempt to impersonate Baliaga Studio, a Baliaga Studio employee, another user, or any other person or entity.
5. AI-GENERATED CONTENT
Music theory analyses produced by Modalys are generated by an artificial intelligence system. You acknowledge that:
- Analyses are educational and informational only. They do not constitute professional music instruction, academic certification, or authoritative musicological opinion.
- Results may contain errors or inaccuracies. AI-generated content can be incorrect, incomplete, or inconsistent. You should not rely solely on Modalys analyses for professional, academic, or commercial decisions.
- Results may vary. Analyses of the same song may differ across sessions due to the probabilistic nature of AI models.
- We are not responsible for third-party AI outputs. The analytical content is generated by Anthropic's systems. We do not guarantee the accuracy, completeness, or fitness for purpose of that content.
6. INTELLECTUAL PROPERTY
The Service and its original content — including but not limited to the application design, interface, icons, branding, software, and system prompts — are and will remain the exclusive property of Baliaga Studio and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Song titles, artist names, and lyrics referenced in analyses are the property of their respective rights holders. Modalys does not reproduce or distribute copyrighted song content. Analysis outputs represent original educational commentary on musical works and are generated by AI under our direction.
7. USER-GENERATED CONTENT AND SHARING
Registered users may share song analyses with others via a unique link. By using the share feature, you acknowledge that:
- Shared links may be accessible to anyone who receives them;
- You are responsible for how you distribute shared links;
- We do not guarantee the permanent availability of shared links and may remove them at any time;
- You must not use the sharing feature to distribute harmful, deceptive, or unlawful content.

The Service integrates with third-party platforms including:
We are not responsible for the content, policies, or practices of any third-party services. Inclusion of third-party links does not imply endorsement.
9. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- ANY ANALYSIS RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE;
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BALIAGA STUDIO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €50.
11. TERMINATION
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service.
You may delete your account at any time by contacting us at contact@baliagastudio.com or through account settings if that option is available. Upon termination, your right to use the Service will immediately cease.
12. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. If you are a consumer located in the European Union, you also benefit from any mandatory protections afforded by the laws of your country of residence. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Spain, unless applicable consumer protection law provides otherwise.
13. CHANGES TO THESE TERMS
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you — for example, via email or a notice within the Service. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
